Job Summary

The Paralegal and Legal Manager will assist the General Counsel and the Legal and Sustainability Departments in multiple aspects of legal compliance, contract preparation and management, research and documentation and advancing the company's strategic priorities, including those within commercial, intellectual property and sustainability. This role involves handling various paralegal, legal operations and legal management tasks to support the legal and sustainability teams, ensuring the company's operations adhere to laws and regulations and its sustainability goals.

Responsibilities

  • Assist in the drafting, review, and management of a variety of contracts and agreements, including NDAs, supplier agreements, and customer contracts.
  • Conduct legal research and gather information on relevant laws, regulations, and legal articles to assist the legal team.
  • Prepare, review, and file legal documents, presentations, and reports.
  • Assist in ensuring the company's compliance with local, state, and federal regulations.
  • Organize and manage legal matter files, track deadlines, and ensure timely follow-up on ongoing legal matters.
  • Support due diligence and integration processes for mergers, acquisitions, and other corporate transactions.
  • Liaise with internal departments, external counsel, and regulatory bodies as needed.
  • Assist in preparing and conducting training sessions on legal and compliance matters for employees.
  • Maintain accurate and organized records of all legal documents and correspondence.
  • Implement, oversee and maintain a comprehensive contracts management database along with relevant contract review and approval policies.
  • Assist the General Counsel in Legal and Sustainability budgeting, including budgeting for and negotiating outside counsel and other advisor fees.
  • Assist the General Counsel in corporate secretarial duties including on Board and committee materials, entity and organizational filings, etc.


Qualifications

  • Associate's or bachelor's degree in paralegal studies or a related field. Paralegal certification preferred.
  • Minimum of 5 years of experience as a paralegal or legal manager, preferably in a corporate legal department.
  • Strong understanding of legal terminology, principles, and procedures.
  • Excellent written and verbal communication skills.
  • Ability to review, revise and assist in the negotiation of contracts.
  • Familiarity with corporate secretarial matters, including corporate governance and board matters and entity management.
  • Experience with implementing and maintaining an enterprise-wide contracts management system.
  • Proficient in legal research tools and databases.
  • Strong organizational skills and attention to detail.
  • Ability to handle multiple tasks and meet deadlines.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).
  • Ability to simultaneously handle multiple tasks in a fast-paced and complex environment and to meet deadlines.
